Approved Partner Skills

Notable will pay Partner the designated percentage of APS Revenue received by Notable. The net revenue generated per run of an Approved Partner Skill is the APS Price net of any general Rate Card discount applicable to an End User.  “APS Revenue” means the aggregate of all net revenues for all End Users.

For example, an Approved Partner Skill XYZ has an APS Price of $10 per run, and is used 500 times by End User A, and 1000 times by End User B. End User A has a 3% general Rate Card discount, End User B has a 5% general Rate Card discount. End User A pays $10 per run times (100% - 3% discount) times 500 runs = $4850. End User B pays $10 per run times (100% - 5% discount) times 1000 runs = $9500.T otal APS Revenue is $4850 + $9500 = $14,350. Partner receives 5% of $14,350 APS Revenue =  $717.50

  • 10 Partner Skill reviews and certifications

Each additional Flow Builder seat includes:

  • Flow Studio access
  • Initial training, certification, and update trainings
  • $5,000 in Credits
  • 5 Partner Skill reviews and certifications

This Partner Commercial Terms Schedule (“Commercial Schedule”) is subject to and incorporates the Notable Partner MasterAgreement, the Product and Implementation Terms available at https://www.notablehealth.com/enterprise-terms, Product Descriptions available at https://www.notablehealth.com/files/notable-product-descriptions, and any Exhibits attached hereto (collectively, the “Agreement”). In the event of a conflict between the additional terms of this Commercial Schedule (“Additional Terms”) and those of the Agreement, these Additional Terms shall control:

1. Approved Partner Skill Pricing
Partner may set the list price of an Approved Partner Skill paid by End Users (“APS Price”), provided that the APS Price may not be lower than the equivalent Rate Card pricing for the components used in such Approved Partner Skill. The APS Price will be included in each End User’s Rate Card, subject to any applicable general discount to such End User’s Rate Card.

2. Fee Settlements
Fees payable by either Party to the other Party will be calculated and paid according to Section 6.2 (Fees, Payments, Payment Terms) of the Partner Master Agreement. The Initial Joining and the first Annual Platform Access Fees are initial fees thereunder. Revenue Share Fees accrue as Approved Partner Skills are run by End Users. Annual PlatformAccess Fees accrue at each anniversary following the Start Date. Additional Flow Builder Seat and Additional Partner Skill Certification Fees are accrued upon Partner’s order of such services.

3. Credits
Partner consumes Credits when testing and using Partner Skills for development, as well as for using Approved Partner Skills and other Flows on its own account. Credits are consumed based on each run of applicable components listed on the Rate Card available at  https://www.notablehealth.com/files/notable-platform-rate-card  (“Rate Card”). If  Partner consumes Credits in excess of available Credits, Partner will accrue an excess Credit fee in accordance with the Rate Card for settlement according to Section 2 (Fee Settlements) above.

4. Renewal Term
This Commercial Schedule will renew for one-year periods unless a party provides written notice of non-renewal at least 90 days before the current term ends.
